Tax Advice Disclaimer
IMPORTANT: Neeuh provides tools for organizing financial data and basic tax calculations. We do not provide tax advice, legal advice, or accounting services. The tax calculations and estimates provided are for informational purposes only and should not be relied upon as professional tax advice. You should consult with qualified tax professionals for advice specific to your situation.
Estimates Only
Tax figures in the Service, including estimated quarterly payments, estimated tax owed, deductions, and mileage amounts, are estimates based on the information available to the Service and on assumptions that may not fit your circumstances. They are not a determination of your actual tax liability. Neeuh does not prepare or file tax returns or make tax payments on your behalf, and you remain responsible for the accuracy of your filings and for paying the correct amount of tax on time, including any penalties or interest.
No Government Affiliation
Neeuh is an independent company. Neeuh is not affiliated with, endorsed by, or acting on behalf of the Internal Revenue Service (IRS), any state tax agency, or any other government agency. References to government forms, rules, or payment systems are for your information only.
AI Features
The Service uses artificial intelligence to suggest transaction categories, search your records, read information from receipts and documents, and, where available, answer questions through an in-app assistant ("AI Features"). AI Features rely on a third-party AI provider, currently OpenAI; the provider we use may change, and the one in use at any time is named in our Privacy Policy. AI Features are part of the Service rather than an optional add-on. By accepting these Terms and using the Service, you agree to the following:
- Outputs may be wrong. AI Features can produce information that is inaccurate, incomplete, or out of date, including incorrect categories, amounts, dates, and answers. Review AI-generated output before relying on it or using it in a tax filing.
- Not advice. Output from AI Features is not tax, legal, accounting, or financial advice, and does not create a professional relationship of any kind.
- Your data is processed by our AI provider. Providing the Service requires us to send information from your account to our AI provider. That includes the name or description, notes, amount, and date of every transaction in your account — including transactions imported automatically from your bank — and, when you use the features concerned, receipts and documents you upload or forward, the descriptions and amounts in spreadsheet files you import, and your messages to the in-app assistant together with the financial summaries needed to answer them. Our Privacy Policy describes this in full. You agree to this processing by accepting these Terms; it is not collected as a separate consent, and no setting in the Service turns it off for transaction information. If you do not agree to it, do not use the Service; if you no longer agree, stop using the Service and delete your account, as described on our account deletion page.
- Responsible use. You may not use AI Features to break the law, to attempt to extract other users' information, or to circumvent the Service's safeguards.
Subscription and Billing
Subscription Plans
- We offer various subscription plans with different features and pricing
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
Free Trial
New accounts may start a 30-day free trial of the Pro plan. The following terms apply, and you agree to them when you start a trial:
- A valid payment method is required to start a trial. You will not be charged during the trial period.
- Your subscription begins automatically at the end of the trial, and the payment method on file is charged the price of the plan you selected — $17 per month, or $150 per year for annual billing — unless you cancel before the trial ends.
- You may cancel at any time before the trial ends, at no charge, through your account settings. Cancelling during the trial ends your access at the close of the trial period.
- One trial per customer. If you have previously started a trial or held a subscription on this account, resubscribing starts a paid subscription immediately and your payment method is charged at once, with no additional trial period.
Automatic Renewal
Subscriptions renew automatically. Unless you cancel first, your subscription renews at the end of each billing period — monthly for monthly plans, annually for annual plans — and the payment method on file is charged the then-current price for your plan. The price and billing interval are shown before you confirm your purchase.
You may cancel automatic renewal at any time from your account settings, effective at the end of the current billing period. We will notify you by email in advance of any change to the recurring price.
Billing and Payment
- Payment is due immediately upon subscription or renewal
- We accept major credit cards and other payment methods as displayed
- You authorize us to charge your payment method for applicable fees
- Failed payments may result in suspension or termination of your account
Cancellation and Refunds
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods
- You retain access to the Service until the end of your paid period
- Deleting your account is different: it cancels your subscription immediately rather than at the end of the billing period, and no prorated or partial refund is provided for the unused portion, except where required by law
Data Ownership and Export
- You retain ownership of all data you input into the Service
- You can export your data at any time in standard formats
- You grant us a license to use your data solely to provide the Service
- Deleting your account permanently deletes your data, as described in our Privacy Policy. Export anything you want to keep before you delete — we cannot recover it afterward.
Third-Party Integrations
Our Service integrates with third-party services such as banks and payment processors:
- These integrations are subject to the third party's terms of service
- We are not responsible for the performance or availability of third-party services
- You are responsible for maintaining valid connections and credentials
- We use industry-standard security measures for all integrations
Service Availability
- We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service
- Scheduled maintenance will be announced in advance when possible
- We are not liable for service interruptions beyond our reasonable control
- Emergency maintenance may be performed without advance notice
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEEUH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Intellectual Property
- The Service and its content are protected by copyright, trademark, and other laws
- You may not reproduce, distribute, or create derivative works without permission
- All trademarks, service marks, and logos are the property of their respective owners
- You grant us a license to use any feedback or suggestions you provide
Termination
Cancelling a subscription and closing an account are two different things:
- Cancelling your subscription stops automatic renewal. Your account stays open and you keep access to the paid Service through the end of the billing period you have already paid for, as described under Cancellation and Refunds above.
- Deleting your account ends these Terms and your access immediately, permanently deletes your data, and cancels any active subscription immediately, with no further charges. No prorated or partial refund is provided for the unused portion of the current billing period, except where required by law. A company that other members still use is not deleted; it stays with them. You may delete your account at any time from your account settings, as described on our account deletion page.
- We may suspend or terminate your account for a violation of these Terms, for non-payment, or where required by law. Except where the violation makes immediate action necessary, we will give you notice and a reasonable opportunity to export your data.
- If we discontinue the Service, we will give you advance notice, a window to export your data, and a pro-rated refund of any prepaid period we do not deliver.
- Provisions regarding data ownership, disclaimers, limitation of liability, dispute resolution, and intellectual property survive termination.
Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action. It applies to any dispute between you and Neeuh arising out of or relating to these Terms or the Service, except as carved out below.
Talk to us first
Most problems can be sorted out quickly. Before starting an arbitration, send a written Notice of Dispute to legal@neeuh.com describing who you are, the account involved, what happened, and what you would like us to do. We will send you a Notice of Dispute the same way. Both of us agree to try in good faith to resolve the dispute for 60 days after the notice is received. If we cannot, either of us may begin arbitration. This step is a prerequisite to filing, and the applicable statutes of limitation are tolled while it runs.
Agreement to arbitrate
If the dispute is not resolved, it will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules where those rules apply to you, and otherwise under its Commercial Arbitration Rules, in each case as modified by this section. The arbitrator, and not any court, decides the merits; questions about whether this section applies to a given dispute or is enforceable are for a court to decide. This agreement to arbitrate is governed by the Federal Arbitration Act.
Where and how
You will never have to travel to arbitrate against us. Unless you and we agree otherwise, a claim of $25,000 or less is decided on the documents submitted, by telephone, or by video conference, at your choice. If an in-person hearing is required, it will be held in the county where you live or another mutually agreed location. The arbitrator's award may be entered as a judgment in any court with jurisdiction, and the arbitrator may award any relief a court could award to you individually, including injunctive relief and any attorneys' fees available by statute.
Fees
Filing, administration, and arbitrator fees are governed by the applicable AAA fee schedule. Where the Consumer Arbitration Rules apply, your share of the filing fee is capped by those rules and we pay the remainder. If your claim is for $10,000 or less and you have complied with the notice step above, we will pay your portion of those fees as well, unless the arbitrator finds your claim frivolous. Each side otherwise bears its own attorneys' fees, except where a statute or the arbitrator's award provides otherwise.
Small-claims and other exceptions
Either of us may bring an individual claim in small-claims court instead of arbitration, so long as it stays in that court and on an individual basis. Nothing in this section prevents either of us from seeking injunctive relief in court to stop infringement or misuse of intellectual property, or from reporting a matter to a government agency.
Individual claims only
Arbitration is on an individual basis. Neither you nor we may bring a claim as a plaintiff or class member in a class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate claims or preside over any form of class or representative proceeding. You and we also waive the right to a jury trial for disputes covered by this section. If this individual-claims requirement is found unenforceable as to a particular claim or request for relief, that claim or request is severed and must proceed in court, while all remaining claims are arbitrated.
Your right to opt out
You can decline this arbitration agreement. Email legal@neeuh.com with the subject line "Arbitration Opt-Out" and include your name and the email address on your account, within 30 days of first accepting these Terms. Opting out affects nothing else — your account, your pricing, and the rest of these Terms are unchanged, and we will not hold it against you. If you opt out, disputes are resolved in the courts identified under Governing Law.
If we materially change this section in the future, you may reject the change by emailing us within 30 days of the change taking effect, and the version you previously agreed to will continue to apply. This section survives termination of these Terms and the closing of your account.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Utah.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
